About us and these terms
- Welcome: Hi we’re MonoDesk. We’re happy to have you here and we hope you enjoy your stay.
- About us: MonoDesk provides access to the MonoDesk Product, which offers tools, features and services to help you develop and manage your creative projects (each a Feature).
- User Terms: By accessing and using the MonoDesk Product and its Features, you acknowledge and agree that the following terms apply to your use of the MonoDesk Product (altogether the User Terms):
- these User Terms; and
- any applicable policies, guidelines and instructions we may issue from time to time regarding the use of the MonoDesk Product and its Features.
Your use of the MonoDesk Product is conditional on your acceptance to be bound by the User Terms.
PLEASE READ THESE USER TERMS CAREFULLY AS THEY CONTAIN IMPORTANT INFORMATION REGARDING YOUR LEGAL RIGHTS, REMEDIES, AND OBLIGATIONS AND SECTIONS 35 AND 36 CONTAIN AN AGREEMENT TO ARBITRATE AND A CLASS ACTION WAIVER. THESE SECTIONS REQUIRE (WITH LIMITED EXCEPTION) THAT YOU SUBMIT CLAIMS YOU HAVE AGAINST US TO BINDING AND FINAL ARBITRATION, AND FURTHER (A) YOU WILL ONLY BE PERMITTED TO PURSUE CLAIMS AGAINST THE COMPANY ON AN INDIVIDUAL BASIS, NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE ACTION OR PROCEEDING, (B) YOU WILL ONLY BE PERMITTED TO SEEK RELIEF (INCLUDING MONETARY, INJUNCTIVE, AND DECLARATORY RELIEF) ON AN INDIVIDUAL BASIS, AND (C) YOU MAY NOT BE ABLE TO HAVE ANY CLAIMS YOU HAVE AGAINST US RESOLVED BY A JURY OR IN A COURT OF LAW.
- Legal authority: The User Terms are a legally binding agreement between us and you. If you are signing up on behalf of a company or organization, another individual, or any other third party, you represent and warrant that you have full legal authority to agree to these User Terms and bind that third party.
- Definitions and interpretation: Any capitalized terms will have the meanings set out in the Definitions section of these User Terms or as otherwise defined in these User Terms. Words like ‘include’ and ‘including’ are not words of limitation and where anything is ‘within our discretion’ we mean our sole discretion.
- Your privacy: For more information on how we handle the information you provide to us when you use the MonoDesk Product, please see our Privacy Policy. By using the MonoDesk Product, you consent to our collection, use and disclosure of personal data and other data as outlined therein.
Access to MonoDesk
- Age: You must be 18 years or over to access and use the MonoDesk Product.
- Your Account and Your responsibility: You agree that if you create an account with MonoDesk, the information you give us is true, accurate and complete and that you will keep your account information up-to-date (including a current email address). Your account is not transferable which means you cannot sell your account. You are responsible for any use of the MonoDesk Product that occurs in conjunction with your username and password so keep your password secure and don’t let any other person use your username or password. If you realize there’s any unauthorized use of your password or any breach of security, you need to let us know immediately.
- Access: Subject to your compliance with the User Terms, you are granted a non-exclusive, limited, non-transferable and freely revocable license to access and use the MonoDesk Product and its Features for commercial or non-commercial use. If you do not have an account, you may only have limited access to the MonoDesk Product. Such access may be limited, at our sole discretion, including restricted access to certain Features. We reserve all rights not expressly granted under these User Terms.
- Availability: The MonoDesk Product is made available to you at our sole discretion and the tools, features and products that make up the MonoDesk Product, and any limits to these tools, features and products, may be modified, restricted, or discontinued at any time, without notice to you. Except as required under applicable law, MonoDesk will not be liable for any loss, damage, or costs arising from such changes.
- Restrictions: You must not (either in your own right or through any third party), and nor permit any third party to:
- interfere with or disrupt the integrity or performance of the MonoDesk Product (for example through sending mass unsolicited messages, “flooding” servers, or introducing a virus, time bomb, trojan horse, worm, cancelbot or other computer routine);
- attempt to gain unauthorized access to the MonoDesk Product or related systems and networks;
- rent, license, sublicense, sell, resell or otherwise commercially exploit or make the MonoDesk Product (or any component thereof) available to any third party (except as expressly contemplated by these User Terms);
- use the MonoDesk Product or incorporate the matters contemplated by the MonoDesk Product into, any product or service provided to a third party;
- use, or permit the use of, any security testing tools in order to probe, scan or attempt to penetrate or ascertain the security of the MonoDesk Product;
- use any data mining, robots, or other similar data and/or image gathering and extraction methods in connection with the MonoDesk Product;
- access the MonoDesk Product or its related systems and networks for the purpose of developing or building a similar or competitive product or service or for the purpose of obtaining unauthorized access to the MonoDesk Product;
- copy, republish, frame, link to, download, transmit, modify, adapt, create derivative works based on, rent, lease, loan, sell, assign, distribute, display, perform, license, sublicense, reverse engineer, reverse assemble, disassemble, or decompile any part of the MonoDesk Product;
- a virtual private network (VPN) or any other means (including creating of facilitating creation of multiple accounts) to avoid compliance with the User Terms, or for any fraudulent or illegal reasons;
- remove any watermarking, copyright notices or other protective measures from any MonoDesk Content made available to you (including any AI-generated content);
- use a false email address, impersonate others, or misrepresent your affiliation with any third party; and/or
- access or use the MonoDesk Product in any way not expressly permitted by these User Terms.
Third Party Services
- Third Party Services: We may use third party software, services, websites, platforms or apps, as part of the MonoDesk Product, to make certain content or services available to you, which may include AI software, services, websites, platforms or apps (Third Party Services).
- Your use of Third Party Services: You acknowledge and agree that in respect of Third Party Services:
- your use of Third Party Services is at your own risk, and may be subject to the terms and conditions applicable to those Third Party Services;
- MonoDesk provides no warranty or representation, and has no liability arising from your use of, or access to any content (including any Outputs generated) or service made available made by a Third Party Service;
- to the extent permitted by law, MonoDesk does not control, endorse nor assume any responsibility for the practices or policies of any Third Party Service and we will not be liable to you in any way whatsoever for any matters related to a Third Party Service or the use or availability of its services; and
- unless otherwise stated, MonoDesk is not affiliated with or otherwise associated with any of the Third Party Services that are used as part of MonoDesk.
Intellectual property
- MonoDesk Content: All rights, title and interest (including all intellectual property rights) in and to MonoDesk including the Features, MonoDesk Content, , all information, software, APIs, products, layout, text, design, compilation, “look and feel”, logos, trademarks, trade names, graphics and other materials that comprise the MonoDesk Product is owned and/or controlled by the Group Companies.
- Your Content: You retain all right, title and interest in and to Your Content and you are solely responsible for Your Content that you upload or share to the MonoDesk Product. You grant us a worldwide, royalty-free and non-exclusive license to access, display, host, store, copy, export and otherwise use and process Your Content in order to make the MonoDesk Product available to you.
- Warranty for Your Content: You represent and warrant that:
- you have all necessary rights, licenses and consents required to share, upload or distribute Your Content;
- Your Content does not use or include any names or, likenesses of real people (including voices and or any other likeness in audio content), any copyright, trademarks, designs, trade dress, logos, works of art or architecture, or other elements that may be protected by third-party rights that you do not have the right to use;
- Your Content does not violate any applicable laws, third party rights, or these User Terms, and
- Your Content complies with all applicable data protection laws and does not contain personal information unless expressly authorised by the subject.
- Feedback: We welcome feedback, comments and suggestions for improvements to theMonoDesk Product and its Features (Feedback). You acknowledge and expressly agree that any contribution of Feedback does not and will not give or grant you any right, title or interest in the MonoDesk Product or in any such Feedback. All Feedback becomes our sole and exclusive property of and we may use (or not use) and disclose Feedback in any manner and for any purpose whatsoever without further notice or compensation to you. You hereby assign to us any and all right, title and interest (including any intellectual property right) that you may have in and to any and all Feedback.
- Copyright, trademark or intellectual property claims: We respect the intellectual property rights of others. If you believe that any content made available by MonoDesk infringes any intellectual property right (including copyright) please send a notice of alleged infringement in one of the following ways:
- for copyright owners – the DMCA takedown notice process is described below; and
- for other intellectual property rights owners, including trade mark owners – you can contact us at support@monodesk.com.
- DMCA takedown notice: If you’re a copyright owner you’ll need to send a signed, dated DMCA takedown notice to us. We have to send this DMCA takedown notice to the other person, which means your details will be passed to them. The other person can submit a DMCA counter-notification if they disagree with your DMCA takedown notice and they might contact you directly using your contact details. The quickest way is to send it to our support team at support@monodesk.com.
- Notice requirements: To ensure your DMCA is valid, your notice must: :
- identify the content that you claim infringes your copyright, including a description and where we can find it the content including the URL.
- identify your copyrighted content and let us know where we can see this published, including the URL;
- provide a detailed explanation about how you believe the content violates your copyright.
- include your full name and contact details, including your address, phone number and email address;
- include the following two statements:
“I have a good faith belief that use of the copyrighted materials described above as allegedly infringing is not authorised by the copyright owner, its agent, or the law.”; and
“I swear, under penalty of perjury, that the information in the notification is accurate and that I am the copyright owner or am authorised to act on behalf of the owner of an exclusive right that is allegedly infringed.”
- include your signature and the date. A digital signature is sufficient, so long as it is yours.
Artificial Intelligence Tools:
- Availability: As part of the MonoDesk Product, you may receive access to certain Features that are powered by artificial intelligence (each of these types of Feature being an AI Feature).
- Rights to Output: To the extent permitted under applicable law, and as otherwise you will own your Output but agree that use may be subject to specific the terms of the AI Feature, including use of specific Output only for non-commercial purposes where indicated.
- Your Input: To the extent that your Input is not pre-existing content made available by MonoDesk, you retain all right, title and interest in and to your Input, and you are responsible for all Input that you submit or upload to MonoDesk.
- Acknowledgement of Output: If you use an AI Feature to receive Output, you acknowledge and agree:
- your Output may not be unique and other users may receive similar or identical Outputs. You acknowledge and agree that in those circumstances, the specific Output received by another user will not be considered your Output and that user will have the right to use that Output and its content for their own purposes in accordance with these terms. The grant of rights in your Output, does not extend to other user’s output;
- MonoDesk makes no guarantees, representations or warranties as to the accuracy, or the rights in, or lack of third party infringement risk in relation to any Output received (including in respect of intellectual property rights, locations, names and likenesses);
- your Output may not be accurate and should not be relied on as a source of truth or as a substitute for any professional, medical or legal advice;
- use of your Output is at your own risk and you are solely responsible (at your own cost and expense) for managing the use of your Output and ensuring that you have evaluated and assessed your Output for accuracy, legality and appropriateness (including non-infringement of third party rights) before you use the Output for your particular purposes (whether commercial or non-commercial);
- you may receive Output that is offensive or objectionable and such Output does not represent MonoDesk’s views and MonoDesk disclaims all liability for any such Output;
- if your Output includes references to third party products or services, it does not mean that MonoDesk or a Group Company has any endorsement or affiliation with those third party products or services; and
- neither MonoDesk nor any Group Company takes any responsibility or assumes any liability for Output or your use of any Output for any purpose.
Our use of your information
- Confidential information: We employ a number of technical, organizational and physical safeguards designed to protect your personal and confidential information. However, no security measures are failsafe and we cannot guarantee the security of your information. We will have no liability to you for any unauthorized access or use of any of your information, or any corruption, deletion, destruction or loss of any of your information. While using the MonoDesk Product, you may also become aware of confidential or personal information about us or other Users. You promise to not disclose any confidential or personal information made available to you through the MonoDesk Product to any other person.
- Personal Information: Our Privacy Policy explains how we deal with personal information, however, we strongly recommend that you don’t share personal information to the MonoDesk Product, such as user name, email addresses, street addresses, phone number or identifiable images, unless you have received all necessary consents to do so. You should not upload or share any sensitive personal information, including medical, financial or biometric information.
- Data Retention: By using the MonoDesk Product and its Features, you acknowledge and agree that we may automatically store and retain any Input, data or content you submit, create or process, in accordance with our Privacy Policy and applicable laws.
- License to use data: By using the MonoDesk Product, you grant MonoDesk and the Group Companies a non-exclusive, royalty-free, perpetual, and worldwide right to collect, analyze, and utilize data derived from your use of the MonoDesk Product for its own commercial purposes. This includes, but is not limited to, data relating to site activity, User preferences, and transaction patterns. MonoDesk will handle such data in compliance with applicable privacy laws and its Privacy Policy, and will anonymise or aggregate personal information where necessary to protect user privacy.
Acceptable Use
- Acceptable Use: Your use of the MonoDesk Product, must comply with the following guidelines and you will not use the MonoDesk Product or its Features to to upload, submit, post, build, create, host, distribute or otherwise make available, any content (including Input or Output), that contains, provides access to (e.g. through links to third party websites) or promotes any of the following types of materials or activities:
- Adult content: This includes material that is sexually explicit or pornographic (such as nudity or sexual activity) or promotes any commercial activity linked to adult content, such as escort agencies.
- Exploitation of children: This includes material or activities that seek to harm or exploit children, threatens child safety, age-inappropriate material, or depicts children in a way that encourages or promotes child abuse, or attraction towards children.
- Hate speech, terrorism and/or discrimination: This includes any form of speech, material or other activity that supports or condones violence or discrimination against individuals based on race, ethnicity, religion, disability, age, gender, nationality, sexual orientation or gender identity.
- Incitement of harm or violence: This includes any material or activity that threatens, or that is intended to incite, promote or create violence or a risk of physical or mental harm, against an individual (including encouragement of self harm, or eating disorders), a group of individuals or promotes or encourages animal cruelty.
- Harassment: This includes material or activity that involves any form of harassment, bullying, (including cyber-bullying), or threatening behavior against an individual or group of individuals.
- Defamation: This includes material that contains any untruthful or defamatory material about a person that would have the likely tendency to lower their estimation in the eyes of others.
- Infringement or violation of third party rights: Use of the MonoDesk Product to share, create or distribute material in violation of the rights of others is not permitted, including infringement or likely infringement of intellectual property rights (including copyright and trade marks), location or property rights, or privacy rights (including any unauthorized impersonation of another person).
- Offensive content: This includes material or activities that would cause offence to a reasonable person, including creating content that is posted for ‘shock value' or is otherwise obscene, hateful or vulgar.
- Fraudulent, misleading or deceptive conduct: This includes material or activities containing or involving any statements, information or disinformation that is false, misleading or deceptive.
- Supply of regulated or illegal goods and services: This includes material or activities that promote the supply of weapons or gambling.
- Illegal, unethical or criminal activities: This includes material or activities that violates or is likely to violate any applicable law or promotes activities that are illegal, unethical or criminal.
- Activities which cause harm to MonoDesk or others: This includes material or activities which might cause harm to MonDesk, a Group Company or any other person. For example, pirated software, programs or archives that provide the functionality to gain unauthorised access to other systems or networks of any kind, Warez sites, files or web pages that contain viruses, trojans, malware or other applications designed to access a user's equipment or information with illegal intentions and/or without the knowledge of the user.
We reserve the right to take action under these terms, if we identify that Your Content includes material or promotes activities that are inconsistent with the spirit of this Section 29, even if it’s something that is not expressly forbidden. In other words, if you do something that isn’t listed here, but it looks or feels like something listed here, we may still take action.
Termination
- Suspension or termination: We may, using reasonable discretion, decide whether or not your use of the MonoDesk Product complies with the User Terms. We can suspend or terminate your access to the MonoDesk Product or any of the Features at any time for any reason (acting reasonably) including:
- if you breach the User Terms or any other applicable terms of MonoDesk;
- if you breach any applicable laws, rules or regulations;
- if you act in a way that does not align with the values of MonoDesk or the Group Companies including:
- engaging in serious or illegal misconduct (such as criminal or fraudulent activities); or
- infringing the intellectual property rights of others; or
- if you act in a way that could cause harm to MonoDesk, the Group Companies or any user of the MonoDesk Product, including:
- any public conduct or activity (such as public communications) that would adversely affect the reputation of MonoDesk or the Group Companies; and/or
- any threats of harm or damage to an author, customer or user of MonoDesk or any other product or service of the Group Companies.
Indemnification; Disclaimer; Limitation of liability
- INDEMNITY: YOU AGREE TO INDEMNIFY AND HOLD HARMLESS EACH GROUP COMPANY FROM AND AGAINST ANY AND ALL LOSSES, COSTS (INCLUDING LEGAL COSTS), EXPENSES, DEMANDS OR LIABILITY THAT THE GROUP COMPANY INCURS ARISING OUT OF, OR IN CONNECTION WITH, YOUR BREACH OF THE USER TERMS AND/OR A THIRD PARTY CLAIM AGAINST A GROUP COMPANY RELATING TO (A) YOUR USE OF THE MONODESK PRODUCT OR ANY OF ITS FEATURES, (B) ANY OF CONTENT GENERATED BY YOU USING THE FEATURES; OR (C) ANY USE OF ANY THIRD PRODUCTS OR SERVICES FORMING PART OF ANY THIRD PARTY OFFER. WE MAY, AT OUR EXPENSE, ASSUME THE EXCLUSIVE DEFENSE AND CONTROL OF ANY MATTER YOU INDEMNIFY US AGAINST, AND IF SO YOU AGREE TO COOPERATE WITH OUR REASONABLE REQUESTS FOR SUPPORT.
- DISCLAIMER: TO THE EXTENT PERMITTED UNDER THE LAW, THE MONODESK PRODUCT(INCLUDING ITS FEATURES, MONODESK CONTENT AND OTHER CONTENT, PRODUCTS AND SERVICES PROVIDED BY MONODESK), THIRD PARTY OFFERS AND THIRD PARTY SERVICES ARE MADE AVAILABLE TO YOU ON AN “AS IS” BASIS AND WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF NON-INFRINGEMENT, MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. YOU ACKNOWLEDGE THAT WE MAKE NO WARRANTY THAT (A) THE MONODESK PRODUCT OR ITS FEATURES WILL MEET YOUR REQUIREMENTS; (B) YOUR ACCESS TO THE MONODESK PRODUCT OR ITS FEATURES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (C) THE RESULTS AND OUTPUT THAT MAY BE OBTAINED FROM THE USE OF THE MONODESK PRODUCT OR ITS FEATURES WILL BE ACCURATE OR RELIABLE; OR (D) THE QUALITY OF ANY CONTENT, PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL OBTAINED BY YOU THROUGH MONODESK WILL MEET YOUR EXPECTATIONS.
- LIMITATION OF OUR LIABILITY: OUR LIABILITY TO YOU IN CONNECTION WITH YOUR USE OF THE MONODESK PRODUCT, ITS FEATURES OR THE USER TERMS, IN CONTRACT, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE, IS LIMITED AS FOLLOWS:
- UNDER NO CIRCUMSTANCES AND UNDER NO LEGAL THEORY (WHETHER IN CONTRACT, TORT, OR OTHERWISE) SHALL WE BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY LOSS OF REVENUE, LOSS OF PROFIT, LOSS OF GOODWILL, LOSS OF CUSTOMERS, LOSS OF CAPITAL, DAMAGE TO REPUTATION, LOSS IN CONNECTION WITH ANY OTHER CONTRACT, LOSS OF DATA, OR INDIRECT, CONSEQUENTIAL OR SPECIAL LOSS, DAMAGE OR EXPENSE; AND
- OUR TOTAL AGGREGATE LIABILITY TO YOU ARISING OUT OF YOUR USE OF THE MONODESK PRODUCT AND ITS FEATURES IS LIMITED TO ONE HUNDRED ($100) US DOLLARS.
- CONSUMER LAWS: IN SOME PLACES (SUCH AS THE STATE OF NEW JERSEY) THERE MAY BE NON-EXCLUDABLE WARRANTIES, GUARANTEES OR OTHER RIGHTS. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS SET FORTH ABOVE MAY NOT APPLY TO YOU OR BE ENFORCEABLE WITH RESPECT TO YOU. IF YOU ARE DISSATISFIED WITH ANY PORTION OF THE MONODESK PRODUCT OR WITH THESE USER TERMS, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USE OF THE SITE.
Dispute resolution
PLEASE READ THIS SECTION CAREFULLY AS IT AFFECTS YOUR RIGHTS.
- Arbitration: Any controversy or claim arising out of or relating to these User Terms, or the breach thereof, shall be settled by binding individual (not class) arbitration administered under the Commercial Arbitration Rules of the American Arbitration Association or of the International Centre for Dispute Resolution in effect on the date of the commencement of arbitration, rather than in court, and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof or having jurisdiction over the relevant party or its assets. This agreement to arbitrate includes claims that arose before you first accepted any version of these User Terms containing an arbitration provision. The place of arbitration shall be the state and county of New York. The language of the arbitration shall be English. There shall be one arbitrator to be mutually agreed by the parties. Each party shall bear its own costs in the arbitration. Both parties agree that the following claims are exceptions to the Arbitration Agreement and will be brought in a judicial proceeding in a court of competent jurisdiction: (i) any claim related to actual or threatened infringement, misappropriation or violation of a party’s copyrights, trademarks, trade secrets, patents, or other intellectual property rights; (ii) any claim seeking emergency injunctive relief based on exigent circumstances (e.g., imminent danger or commission of a crime, hacking, cyber-attack) (iii) any claim arising solely from your alleged failure to pay fees due to MonoDesk. All aspects of the arbitration proceeding, and any ruling, decision, or award by the arbitrator, will be strictly confidential for the benefit of all parties.
- Class action waiver: YOU AND MONODESK AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION. Unless both you and MonoDesk agree, no arbitrator or judge may consolidate more than one person’s claims or otherwise preside over any form of a representative or class proceeding. The arbitrator may award injunctive relief only in favor of the individual party seeking relief and only to the extent necessary to provide relief warranted by that party’s individual claim. You and MonoDesk acknowledge and agree that we are each waiving the right to a trial by jury as to all arbitrable disputes under these User Terms.
- Severance: If a court decides that applicable law precludes enforcement of any of the limitations in this section as to a particular claim for relief, then that claim (and only that claim) must be severed from the arbitration and may be brought in court.
Miscellaneous
- California consumer laws: Under California Civil Code Section 1789.3, users of MonoDesk from California are entitled to the following specific consumer rights notice: The Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs may be contacted (a) via email at dca@dca.ca.gov; (b) in writing at: Department of Consumer Affairs, Consumer Information Division, 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834; or (c) by telephone at (800) 952-5210 or (800) 326-2297 (TDD). - Sanctions: We are subject to trade and economic sanctions and laws and regulations that govern the use of our services. These laws or regulations may prohibit us from providing services to you or require that we discontinue making services available to you without notice. By using our services you agree to comply with all trade or economic sanctions, export and import laws and regulations and warrant that: (i) you are not prohibited from accessing our services; and (ii) you will not make our services available to anyone who is prohibited from accessing them under the laws or regulations of any jurisdiction.
- Relationship between the parties: Nothing in the User Terms is to be construed as constituting a partnership, joint venture, employment or agency relationship between you and any Group Company, or between you and any other User. You cannot act on behalf of or bind a Group Company or any other user in any way.
- Use of Group Company services: We may use the services of another Group Company for any purpose in relation to the MonoDesk Product.
- Changes to terms: We may change the User Terms (and any policies or agreements referenced in the UserTerms) at any time. We will post the current version of the User Terms on the MonoDesk website. You can also keep track of whether changes have been made by referring to the version and effective date of these User Terms. By continuing to use the MonoDesk Product after the effective date of the changes, you agree to be bound by the updated terms. If you do not agree with the changes, you should not use the MonoDesk Product.
- Changes to our services: We may add, change or remove features, products or functionality of the MonoDesk Product or discontinue, temporarily or permanently, the MonoDesk Product and/or any Feature (or any part thereof) at any time with or without notice.
- Assignment: You may not transfer or assign the User Terms, or any of your rights or obligations under the User Terms without MonoDesk’s prior written consent. MonoDesk may transfer or assign any of its rights and obligations under the User Terms, in whole or in part, at any time with or without notice.
- Entire agreement: The User Terms (and any policies or agreements referenced in these User Terms) constitute the entire agreement between you and MonoDesk with respect to the MonoDesk Product. The User Terms supersede any prior representations, agreements, or understandings between you and MonoDesk, whether written or oral, with respect to MonoDesk including previous versions of the User Terms. The English version of the User Terms will control.
- Severability: If any individual term of the User Terms is found to be invalid or unenforceable, such finding will be limited solely to such invalid or unenforceable part, without affecting the remaining parts of such individual term, or any other part of the User Terms, so that the User Terms shall otherwise remain in full force and effect.
- Waiver: MonoDesk’s express waiver or failure to enforce any provision of the User Terms shall in no way be construed to be a present or future waiver of such provision nor affect MonoDesk’s ability to enforce any provision thereafter.
- Governing law: The User Terms are governed by and shall be construed in accordance with the laws of the State of New York, without regard to any conflict of laws principles.
- Notices: For any notices or specific questions about the User Terms, please contact support@monodesk.com with the subject line ‘MonoDesk User Terms’. Any notice we send to you may be provided via our website.
Definitions
Group Companies: MonoDesk and any company that controls, is controlled by or is under common control with MonoDesk. References to a Group Company include any successors (whether by merger, purchase or otherwise) and permitted assigns.
Input: Any of Your Content that is submitted into an artificial intelligence Feature into an AI Product to generate an Output based on the information it has processed.
MonoDesk, we, us or our: Shutterstock, Inc.
MonoDesk Content: Any content made available by MonoDesk on the MonoDesk Product, including but not limited to images, artwork, graphics, icons, audio-visual content, and other content such as retrieved search results, or pre-generated content.
MonoDesk Product: www.monodesk.com (or any successor or related site), including all Features, functionalities, websites, software and other content offered, provided or made available thereon as part of the MonoDesk Product.
User, you or your: Each person who accesses or uses the MonoDesk Product and its Features.
Your Content: Any information, data, files, reports, briefs, materials, commands or other content (such as a text, or media such as images, video, audio, or other multimedia files) that is submitted or uploaded by the User to the MonoDesk Product, and includes Input.
